What Is a CIPC Director Amendment?
A CIPC director amendment is the formal process of updating your company’s director information at the Companies and Intellectual Property Commission. Under the Companies Act, 2008 (Section 70), every company must notify CIPC of any changes to its directors within 10 business days. How to Add a Director to Your Company at CIPC
Adding a director to your South African company requires a formal appointment process. First, the board of directors (or shareholders, depending on the MOI) must pass a resolution appointing the new director. Subsequently, the new director must provide written consent to act as a director.
It is important to note that the new director must not be disqualified under Section 69 of the Companies Act. For example, a person who is an unrehabilitated insolvent, who has been declared mentally unfit, or who has been convicted of certain offences cannot serve as a director. In addition, the person must not be under a probation order from CIPC.
Once the appointment is confirmed, the CoR39 form is completed and filed with CIPC within 10 business days. After CIPC processes the filing, the company’s records are updated to reflect the new director. Consequently, the updated disclosure certificate can be used for bank account updates, SARS changes, and tender applications.
How to Remove a Director From Your Company at CIPC
Removing a director can happen through resignation (the director voluntarily steps down) or through removal by resolution (the shareholders vote to remove the director). In either case, the change must be reported to CIPC using the CoR39 form within 10 business days of the effective date.
For a resignation, the outgoing director should provide a signed resignation letter stating the effective date. On the other hand, for removal by shareholders, the company must have followed the proper procedures set out in the Companies Act and the company’s MOI. This includes giving the director reasonable notice and an opportunity to respond before the resolution is passed.
Failing to remove a director from CIPC records can have serious consequences. For instance, the outgoing director may remain personally liable for company actions, and they may face difficulties with their own credit record or future directorships. Therefore, it is essential to file the CoR39 promptly to protect both the company and the departing director.
Companies Act Requirements for Director Changes
The Companies Act, 2008, governs all director appointments and removals in South Africa. Specifically, Section 66 sets out the requirements for the composition of a board of directors, while Section 70 deals with vacancies on the board.
