What Is a CC Membership Change?

A CC membership change is the formal process of updating the members of a Close Corporation at CIPC. It is done by filing a CK2 (Amended Founding Statement), which records new members, resignations, deceased or insolvent members, and any change to each member’s percentage interest.

A Close Corporation can have between 1 and 10 members, and every member must be a natural person — a company or trust cannot be a member. The combined member interest must always add up to exactly 100%, so whenever one member’s share changes, the others are adjusted to match.

Since the Companies Act came into effect on 1 May 2011, new CCs can no longer be registered. However, existing Close Corporations continue to operate indefinitely and can freely change their membership. CC vs Company (Pty Ltd) — What’s the Difference?

A Close Corporation is owned by its members, who each hold a percentage of member interest, and it is governed by the Close Corporations Act of 1984. A company (Pty Ltd) is owned by shareholders who hold shares and is governed by the Companies Act of 2008.

Because no new CCs can be registered, many owners eventually convert to — or simply start — a Pty Ltd for easier access to funding, investors, and growth. If you are weighing that up, we can talk you through it and register a new company when you are ready.

In the meantime, keeping your CC’s membership up to date at CIPC is essential for banking, SARS, and tenders. Many clients also need CIPC annual returns filed and CSD registration updated after a membership change — we can bundle these together.
